ANSA Merchant Bank Limited Shareholder Support Marks The Next Step Toward A Stronger, More Integrated Financial Services Business

Port of Spain, Trinidad and Tobago, 22nd October 2026: Shareholders of ANSA Merchant Bank Limited (AMBL) have voted in favour of the proposed reorganisation of the Group’s financial services business, supporting plans to bring its banking operations under ANSA Bank Limited and the establishment of a new financial holding company.

The decision, taken at the company’s Special Meeting of Shareholders held on Thursday, 22 October 2026, represents an important endorsement of the Group’s strategic direction and allows the reorganisation to advance through its remaining regulatory and implementation stages.

Under the proposed structure, ANSA Bank will become the single licensed operating commercial bank within the ANSA McAL Group of Companies, combining ANSA Merchant Bank’s nearly five decades of banking experience, financial expertise and established customer relationships with ANSA Bank’s growing retail, commercial and digital banking capabilities.

ANSA Merchant Bank Limited will transition into a non-operating financial holding company, to be renamed ANSA Financial Holdings Limited (AFHL), with responsibility for oversight of the Group’s financial subsidiaries, including ANSA Bank Limited, ANSA Wealth Management Limited, ANSA Financial Holdings (Barbados) Limited, Trinidad and Tobago Insurance Limited and its subsidiaries.

The proposed reorganisation is intended to provide a clearer distinction between the Group’s banking operations and its wider financial services interests. The new structure will support stronger governance, consolidated regulatory oversight and more effective capital allocation, while creating a platform for continued growth across its domestic and regional businesses.

Importantly, the proposed changes preserve continuity for shareholders, who will retain their existing shares and the rights and benefits attached to them. The Company will remain listed on the Trinidad and Tobago Stock Exchange and, following completion and subject to all required regulatory approvals, will trade under the name ANSA Financial Holdings Limited, with the proposed trading symbol AFHL.

The reorganisation will not change the business operations of ANSA Wealth Management Limited, ANSA Financial Holdings (Barbados) Limited, Trinidad and Tobago Insurance Limited or their respective subsidiaries. For banking customers, the integration is intended to provide a broader range of capabilities and greater opportunities to enhance the banking experience.

A. Norman Sabga, Chairman of ANSA Merchant Bank Limited, said:
“Over the past five decades, we have built a business that has earned the trust of our shareholders, customers and the communities we serve. That trust is something we value deeply. I am grateful to our shareholders for their continued confidence and support as we take this important next step. We have much to be proud of in our history, and even more to look forward to as we build on that foundation for the generations to come.”

Stephen Grell, Managing Director, Banking Sector, ANSA McAL Group, welcomed the shareholders’ support as an important endorsement of the Group’s future direction:
“I’m grateful for the confidence our shareholders have shown in the direction we’re taking. We have a proud history to build on, and what excites me most is the opportunity to take the best of both banks and create something even better for our customers. Banking has always been about people and relationships, and that will remain at the heart of who we are. As we work towards bringing our businesses together, my focus is on building a bank that stays close to its customers, understands their ambitions and grows with them.”

While shareholder approval represents a significant step forward, completion of the reorganisation remains subject to the necessary regulatory and governmental approvals and confirmations. The Central Bank of Trinidad and Tobago has issued its conditional no-objection, with the remaining requirements including the satisfaction of applicable regulatory conditions and the grant of a Vesting Order by the Minister of Finance.

The Group is targeting 1 January 2027 for the proposed reorganisation to take effect, subject to the completion of these requirements.
